1. Acceptance of these Terms

blackfox.com, together with the pages, forms, and other online services on it, is operated by Blackfox Training Institute LLC ("Blackfox", "we", "us"). This is referred to below as the "Site". By accessing or using the Site, you agree to these Terms of Use. If you do not agree, please do not use the Site.

2. Who we are

Blackfox Training Institute LLC is an IPC Authorized Training Center with headquarters at 701 Delaware Ave Unit B, Longmont, CO 80501. Blackfox delivers IPC certification, soldering, and related electronics manufacturing training at its own facilities, at customer sites, and online.

3. Permitted use of the Site

You may use the Site to learn about our training, request a quote, register for training, and contact us. You agree not to:

- use the Site for any unlawful purpose, or in breach of these Terms;

- copy, scrape, or republish Site content except as permitted in section 4;

- attempt to gain unauthorized access to the Site, its servers, or any account;

- interfere with the operation of the Site, including by introducing malicious code or by placing an unreasonable load on it;

- use the Site or its content to build a commercial database, catalog, or dataset, including for the training of machine learning models, without our written permission.

4. Intellectual property

All content on the Site, including text, training descriptions, images, video, graphics, page design, and the arrangement of the Site, is owned by Blackfox or its licensors and is protected by copyright and other laws. You may view, download, and print pages of the Site for your own internal reference. Any other use, including reproduction, modification, distribution, or republication, requires our prior written consent.

Training materials, workbooks, kits, and other materials supplied in connection with a training date are licensed for the use of the enrolled student only. They may not be copied, shared, resold, or used to deliver training to other people.

5. Trademarks

Blackfox, the Blackfox logo, and Premier Training and Certification are marks of Blackfox Training Institute LLC. IPC, IPC Authorized Training Center, and the names of the IPC standards and certification programs are marks of IPC International, Inc., which also does business as the Global Electronics Association. They are used on the Site to describe the programs we are authorized to deliver. Nothing on the Site grants you a license to use any of these marks.

6. Training registrations, quotes, and pricing

Training listings, schedules, locations, and prices shown on the Site are provided for information and may change. Publishing a training date or a price on the Site is not an offer that we are bound to accept. A registration is confirmed only when Blackfox confirms it in writing. Registrations, cancellations, transfers, refunds, and payment terms are governed by the quotation or the registration confirmation we issue.

7. Certification

Certification is awarded under the rules of the relevant certification body and not by Blackfox alone. Attending training does not guarantee a passing result. Blackfox applies the attendance, hands on, and grading requirements set by the certification body for every program it delivers.

8. Accuracy of information

We take care to keep the Site accurate and current, but we do not warrant that Site content is free of errors or omissions. Technical and standards related content on the Site is general information. It is not a substitute for the applicable published standard, or for professional engineering judgment.

9. Information you submit

When you submit a form, a quote request, or other information through the Site, you confirm that the information is accurate and that you are authorized to provide it. Please do not submit confidential, export controlled, or classified technical information through the Site. Our handling of personal information is described in our Privacy Policy.

10. Third party links and services

The Site may link to third party websites and may embed third party services. We do not control them and we are not responsible for their content, products, or practices. Your use of a third party site or service is governed by its own terms.

11. Disclaimer of warranties

The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Blackfox disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non infringement, and does not warrant that the Site will be uninterrupted, secure, or free of error.

12. Limitation of liability

To the fullest extent permitted by law, Blackfox and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profit, revenue, data, or business, arising out of or in connection with your use of the Site.

13. Indemnity

You agree to indemnify Blackfox against claims, losses, and expenses arising from your breach of these Terms or your misuse of the Site.

14. Privacy

Our collection and use of personal information through the Site is described in our Privacy Policy, which forms part of these Terms.

15. Governing law

These Terms are governed by the laws of the State of Colorado, without regard to its conflict of laws rules. You agree that the state and federal courts located in Boulder County, Colorado have exclusive jurisdiction over any dispute arising out of the Site or these Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in full force.

17. Language

These Terms are published in English and in Spanish. If there is any difference between the two versions, the English version controls.

18. Changes to these Terms

We may revise these Terms at any time. The revised version takes effect when it is posted on the Site, and the effective date above will be updated. Your continued use of the Site after that date means that you accept the revised Terms.
